Terms of Service

1 Acceptance of Terms

By accessing, registering for, or using any part of the Execor platform — including the website at execor.co, our APIs, and all associated services (collectively, the "Service") — you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy.

These Terms constitute a legally binding agreement between you ("User", "you") and Execor ("Execor", "we", "us"). If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2 Description of Service

Execor is an AI-powered autonomous agent platform designed to automate business workflows, including but not limited to:

• Email follow-up sequences and inbox triage
• Lead qualification and CRM data management
• Meeting scheduling and calendar coordination
• Invoice reminders and billing workflow automation
• Integration with third-party business tools

The Service is currently in pre-launch/beta phase. Features, availability, and pricing are subject to change.

3 Eligibility

To use Execor, you must:

• Be at least 18 years of age
• Have the legal capacity to enter into a binding agreement
• Not be prohibited from using the Service under applicable law
• Use the Service for lawful business purposes only

The Service is intended for business use. Use by individuals for purely personal, non-commercial purposes is not the intended use case.

4 Account Registration

To access certain features, you must create an account. You agree to:

• Provide accurate, complete, and current information
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized account access
• Accept responsibility for all activity that occurs under your account

You may not share account credentials, create accounts for others without authorization, or use automated means to create accounts.

5 Acceptable Use

You agree to use the Service only for lawful purposes. You must not use Execor to:

• Send spam, unsolicited communications, or violate anti-spam laws (CAN-SPAM, GDPR, CASL)
• Engage in any deceptive, fraudulent, or misleading communication
• Violate the rights of any third party, including privacy or intellectual property rights
• Attempt to gain unauthorized access to our systems or other users' accounts
• Reverse engineer, decompile, or extract source code from our platform
• Resell or sublicense the Service without express written authorization
• Use the Service in any manner that could damage, disable, or impair our infrastructure

6 Subscriptions and Billing

Access to Execor's full feature set requires a paid subscription. Key billing terms:

• Billing Cycle: Subscriptions are billed monthly or annually, as selected at sign-up.
• Auto-Renewal: Subscriptions renew automatically unless cancelled before the renewal date.
• Pricing Changes: We will provide at least 30 days' notice before increasing subscription prices.
• Refunds: Annual subscriptions may be eligible for a pro-rated refund within the first 30 days. Monthly subscriptions are non-refundable after the billing date.
• Failed Payments: Access may be suspended if payment fails. We will notify you and provide a grace period to resolve billing issues.
• Taxes: Prices are exclusive of applicable taxes, which will be added based on your location.

All payments are processed securely by Stripe. We do not store payment card details.

7 Intellectual Property

All rights, title, and interest in and to the Execor platform — including its software, algorithms, design, trademarks, and content — remain the exclusive property of Execor. Nothing in these Terms grants you any ownership rights in the Service.

You are granted a limited, non-exclusive, non-transferable, revocable license to use the Service for your internal business purposes in accordance with these Terms.

8 Your Content and Data

You retain all ownership rights to data, content, and information you input into or generate through Execor ("Your Content"). By using the Service, you grant Execor a limited license to process Your Content solely to provide the Service to you.

We do not use Your Content to train AI models without your explicit consent. We do not sell Your Content to any third party.

You are responsible for ensuring that Your Content does not violate any applicable laws or third-party rights.

9 Third-Party Integrations

Execor connects with third-party platforms (Gmail, HubSpot, Salesforce, Stripe, etc.) via their respective APIs. Your use of those platforms is governed by their own terms and privacy policies. Execor is not responsible for the availability, security, or conduct of third-party services.

We may change or discontinue integrations at any time due to changes in third-party APIs or policies.

10 Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

We do not warrant that the Service will be uninterrupted, error-free, or that any defects will be corrected. AI-generated outputs are provided for informational and automation purposes only — always review automated actions that carry significant business or financial consequences.

11 Limitation of Liability

To the fullest extent permitted by applicable law, Execor shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including but not limited to loss of profits, revenue, data, or business opportunities — arising from your use of or inability to use the Service.

Our total liability to you for any claims arising under these Terms shall not exceed the amount you paid to Execor in the 12 months preceding the claim.

12 Indemnification

You agree to indemnify, defend, and hold harmless Execor, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any applicable law or third-party rights
• Any content or data you submit through the Service

13 Termination

You may terminate your account at any time by contacting us at info@execor.co or through your account settings.

We may suspend or terminate your access at any time, with or without notice, if:

• You violate these Terms or our Acceptable Use Policy
• We are required to do so by law
• We determine that continued service poses a risk to our platform or other users

Upon termination, your right to access the Service ceases immediately. We will provide a mechanism to export your data within 30 days of termination.

14 Governing Law and Disputes

These Terms are governed by and construed in accordance with applicable international commercial law. For users based in Morocco, Moroccan law applies where applicable.

Any disputes arising from these Terms shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to binding arbitration.

Nothing in this section limits your rights under mandatory local consumer protection laws that cannot be waived by contract.

15 Changes to Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will:

• Update the "Last updated" date at the top of this page
• Notify registered users by email at least 14 days before changes take effect
• Display a prominent notice in the product

Your continued use of the Service after the effective date constitutes acceptance of the revised Terms.
